1. About These Terms
These Terms of Service ("Terms") govern your use of the website located at https://praesidiumpro.com (the "Site"), operated by The Praesidium Group, LLC, doing business as Praesidium Protective Services ("Praesidium," "we," "us," or "our"), a private protective services firm licensed by the Alabama Security Regulatory Board (License # 00605) and based in Gulf Shores, Alabama.
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms apply only to the Site. They do not govern the protective services Praesidium provides to contracted clients. Those services are governed by a separate written engagement agreement that takes precedence over these Terms for all matters relating to a protective engagement.
2. The Site Does Not Create an Engagement
This section is the most important provision in these Terms, and we want it stated clearly:
- Visiting the Site does not engage Praesidium.
- Submitting the contact form does not engage Praesidium.
- Receiving an acknowledgment from Praesidium does not engage Praesidium.
- A protective engagement begins only when a written engagement agreement is signed by an authorized representative of Praesidium and by the client.
Until that written agreement is signed, Praesidium has no duty to provide protective services, no duty to maintain coverage of any person or location, and no obligation to undertake any planning, threat assessment, or readiness activity. Inquiries, communications, and conversations — including verbal indications of intent — are exploratory only.
If you are facing an immediate safety threat, contact local law enforcement by dialing 911. The Site is not a substitute for emergency services.
3. Description of Site
The Site provides general information about Praesidium and the categories of services we offer, including:
- Executive Protection
- Uniformed Security
- Low-Profile Coverage
- Residential Security
- Event Security
- Secure Transportation
- Security Consulting
The Site also includes a contact form for prospective clients, partners, and candidates to introduce themselves and request a confidential conversation. Information submitted through the contact form is handled in accordance with our Privacy Policy.
4. Eligibility
You must be at least 18 years old to use the Site or submit information through it. By using the Site, you represent that you meet this requirement and that any information you provide is true, accurate, and your own (or that you are authorized to submit it on behalf of another).
5. Intellectual Property
All content on the Site — including text, graphics, logos, photographs, video, design elements, layout, and the "Praesidium Protective Services" name and mark — is owned by Praesidium or licensed to Praesidium and is protected by applicable copyright, trademark, and other intellectual property laws.
You may view and, for personal non-commercial purposes, print or download Site content. You may not:
- Republish, redistribute, or commercially exploit Site content
- Use Praesidium marks or imagery to imply endorsement or affiliation
- Modify or create derivative works from Site content
- Remove copyright, trademark, or other proprietary notices
Limited fair-use quotation for legitimate journalism, education, or commentary is permitted in accordance with U.S. copyright law.
Photography. Press may reference or quote Site photographs and imagery in editorial coverage. Commercial reuse requires Praesidium's prior written consent.
6. Acceptable Use
In using the Site, you agree not to:
- Attempt to gain unauthorized access to any portion of the Site, the underlying systems, or accounts of other users
- Probe, scan, or test the vulnerability of the Site or related systems, or breach security or authentication measures
- Use the Site to transmit malware, viruses, or any code of a destructive nature
- Use automated tools (bots, scrapers, crawlers) to collect content or data from the Site beyond what is permitted by our robots.txt
- Use the Site to harass, threaten, defame, or impersonate any person
- Submit false, misleading, or fraudulent information through any form
- Interfere with the operation of the Site or the experience of other users
- Use the Site to plan, facilitate, or further any unlawful activity
We may, at our discretion, suspend or block access from any IP address, network, or device that we reasonably believe has engaged in any of the above.
7. Inquiries and Confidentiality
We treat inquiries submitted through the Site as confidential business communications and handle them in accordance with our Privacy Policy.
We ask in return that you not disclose the contents of communications with Praesidium — including correspondence, quotes, proposals, and the substance of any consultation — to third parties without a legitimate business reason. This is a customary courtesy in our industry; in many cases it is also a legal obligation if a non-disclosure agreement is signed in connection with an engagement.
You should not transmit highly sensitive operational information (residential addresses, schedules, security vulnerabilities, threat intelligence) through the Site's public contact form. If such information is necessary for us to evaluate a potential engagement, we will arrange a secure channel.
8. Careers and Candidate Submissions
If you indicate "Careers" on the contact form, or otherwise express interest in working with Praesidium, you understand and agree that:
- Submitting an application or expression of interest does not constitute an offer of employment, an independent contractor agreement, or any commitment by Praesidium.
- Praesidium reserves the right to review submissions at any time, including when no opening is currently posted, and to retain submissions for future consideration.
- All submitted materials become part of Praesidium's records and may be retained subject to our records-management practices.
- Any employment, contractor, or consulting relationship will be established only by a separate written agreement signed by an authorized representative of Praesidium.
Third-Party Application Platform. Formal applications are submitted through a third-party application platform (currently Jotform), not directly through this Site. Use of that platform is subject to its own terms of service, and submitting an application through it does not create any agreement between you and Praesidium beyond what is described in these Terms. As part of considering a candidate, Praesidium may conduct reference or background-screening inquiries; any information collected for that purpose is handled in accordance with our Privacy Policy.
We do not accept unsolicited resumes through agencies, recruiters, or staffing firms. Any unsolicited submission from such a source is provided gratis and creates no obligation on Praesidium.
9. Licensing and Regulatory Status
Praesidium is licensed by the Alabama Security Regulatory Board (License # 00605) and operates in accordance with applicable Alabama statutes and regulations governing private protective services, including Ala. Code Title 34, Chapter 27C and related rules.
Information on the Site about our services, qualifications, and personnel is provided in good faith and is believed accurate at the time of publication. Licensing status, jurisdictions of service, and personnel rosters may change without notice.
10. Third-Party Links
The Site may link to third-party websites or services for the convenience of visitors. Praesidium does not control and is not responsible for the content, privacy practices, or availability of any third-party site. Inclusion of a link does not imply endorsement.
11. Disclaimers
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PRAESIDIUM DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Praesidium does not warrant that:
- The Site will be uninterrupted, error-free, or secure
- Defects will be corrected
- The Site or the server that makes it available are free of viruses or other harmful components
- Information on the Site is current, complete, or accurate
The Site is informational. Nothing on the Site constitutes professional security advice for any specific situation. Any decision to retain protective services should be made on the basis of a confidential consultation and a signed engagement agreement — not on the basis of information presented on the Site.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRAESIDIUM AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF PRAESIDIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not permit the exclusion or limitation of certain damages, Praesidium's liability is limited to the maximum extent permitted by law.
Nothing in these Terms limits liability for matters that cannot lawfully be limited, including (where applicable) gross negligence, willful misconduct, or fraud.
This Section 12 governs only your use of the Site. Liability arising out of a protective services engagement is governed exclusively by the written engagement agreement between Praesidium and the client.
13. Indemnification
You agree to defend, indemnify, and hold harmless Praesidium and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Site
- Your violation of these Terms
- Your violation of any law or the rights of any third party in connection with your use of the Site
We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.
14. Modifications to the Site and to These Terms
We may modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any such change.
We may also update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. If we make material changes, we will provide additional notice as appropriate. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
15. Governing Law and Venue
These Terms and any dispute arising out of or related to them or to the Site are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles.
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or to the Site (and not subject to arbitration under Section 16, if applicable) will be brought exclusively in the state or federal courts located in Baldwin County, Alabama, and you consent to the personal jurisdiction of those courts.
16. Dispute Resolution
16.1 Informal Resolution First
Before filing any formal action, you agree to first contact us at protect@praesidiumpro.com and describe the dispute in writing. We will use good-faith efforts to resolve the matter within thirty (30) days.
16.2 Mediation
If informal resolution under Section 16.1 is unsuccessful, the parties agree to attempt to resolve the dispute through mediation before initiating arbitration. The mediation shall take place in Baldwin County, Alabama, before a mutually agreed-upon mediator. Each party shall bear its own costs and share the mediator's fee equally.
16.3 Binding Arbitration
If mediation under Section 16.2 does not resolve the dispute within sixty (60) days of the mediator's appointment (or such longer period as the parties agree), any dispute arising out of or relating to these Terms or to the Site shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Baldwin County, Alabama. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
The parties agree that disputes shall be brought only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
16.4 Emergency Injunctive Relief
Notwithstanding Sections 16.1 through 16.3, either party may seek emergency injunctive or other equitable relief in the state or federal courts located in Baldwin County, Alabama, to prevent immediate or irreparable harm. Seeking such relief shall not constitute a waiver of either party's right or obligation to proceed through informal resolution, mediation, or arbitration under this Section 16.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
18. No Waiver
A failure or delay by Praesidium to enforce any provision of these Terms is not a waiver of that provision or of Praesidium's right to enforce it later.
19. Entire Agreement
These Terms, together with the Privacy Policy and any separate written agreement between you and Praesidium, constitute the entire agreement between you and Praesidium regarding the Site, and supersede any prior agreements regarding the same subject matter. Nothing in these Terms is intended to alter the terms of a signed engagement agreement governing protective services.
